4. Intellectual Property

6. Payment Terms

Payment terms for consulting services will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. We reserve the right to suspend services for accounts with overdue balances.

7. Limitation of Liability

To the maximum extent permitted by law, iiTechs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from our services shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless iiTechs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services or violation of these Terms.

10. Termination

Either party may terminate consulting engagements in accordance with the terms specified in individual service agreements. We reserve the right to suspend or terminate access to our website or services at any time for violations of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Maricopa County, Arizona.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
